Terms & Conditions

Lets Make Progress (Pty) Ltd — Last updated: April 2026

Lets Make Progress (Pty) Ltd is pleased to set out their Terms and Conditions, which will apply to the work we do for you. These Terms and Conditions and the Quote/Production Estimate supplied to you form the contract between us for the provision of Lets Make Progress (Pty) Ltd's services.

1. Let's Make Progress (Pty) Ltd's Role

1.1 The Services

Let's Make Progress (Pty) Ltd will provide the services described in the Quote/Production Estimate as presented. If the scope of the work changes, we will discuss and agree on necessary adjustments with you.

1.2 Information

To maximise efficiency, we require clients to provide accurate and timely information. We will assume all provided information is correct unless stated otherwise.

1.3 Incidentals

Courier fees or printed proofs from external printers, if required, will be charged to the client.

1.4 Termination

Should you wish to terminate the contract after work has commenced, you will be invoiced for all work completed up to that point.

1.5 Force Majeure

We are not liable for any delays or failure to perform obligations due to circumstances beyond our control.

2. Payment Terms

2.1 Payment Schedule

Invoices must be settled by bank transfer within 14 days from the invoice date unless otherwise agreed. Ownership of all work remains with Let's Make Progress (Pty) Ltd until full payment is made.

2.2 Other Specialist Services

Third-party costs such as photography, illustration, video production, and sound recording are excluded from the estimate unless stated otherwise. These costs will be passed on and quoted accordingly.

3. Web Hosting Terms

3.1 Payment & Penalty Fees

Clients must make timely payments for web hosting services. Failure to do so will result in penalty fees.

3.2 Domain Reactivation Fee

If a client does not pay for their domain within 72 hours, a R100 reactivation fee will be charged in addition to the penalty fee.

3.3 Service Suspension

Non-payment may result in service suspension until outstanding fees are settled.

4. Web Design Terms

4.1 Project Duration

A web project will remain open for a maximum of six months.

4.2 Abandoned Projects

If the client fails to provide necessary information, feedback, or approvals within the six-month period, the project will be marked as abandoned.

4.3 Reactivation Fee

To resume an abandoned project, the client must pay a R250 reactivation fee.

4.4 Scope & Changes

Changes beyond the agreed project scope will be considered a new request and billed separately.

5. Scoping

Let's Make Progress (Pty) Ltd will provide a scoping document detailing functionality for websites, applications, or marketing campaigns. Once approved, any additional work will be treated as a separate update and priced accordingly.

6. Content

6.1 Content & Images

Clients must provide text and images in an appropriate digital format. Additional charges may apply for retyping text or significant copywriting.

6.2 Image Requirements

  • Print images: 300 DPI resolution minimum
  • Web images: Lower resolution is acceptable
  • Client-provided images must be owned or licensed for use

6.3 Copyright & Usage Rights

Let's Make Progress (Pty) Ltd assumes that all images and materials provided by the client have the appropriate usage rights. The client is responsible for obtaining permission for any copyrighted materials used.

7. Confidentiality

Let's Make Progress (Pty) Ltd will keep all client information confidential unless disclosure is required by law or agreed upon by the client.

8. Intellectual Property

8.1 Ownership of Materials

Upon full payment, clients will own the final designs and deliverables. However, Let's Make Progress (Pty) Ltd retains intellectual property rights for any concepts, source code, or design elements developed during the project.

8.2 Portfolio Rights

We reserve the right to showcase completed projects in our portfolio for promotional purposes.

8.3 Working Files & Copyright

Working files (e.g., design concepts, source code, fonts, and infographics) remain the intellectual property of Let's Make Progress (Pty) Ltd and will not be released unless otherwise agreed upon, with additional fees applicable.

9. Indemnity

Clients agree to use our services for lawful purposes only and indemnify Let's Make Progress (Pty) Ltd from any claims resulting from the misuse of services.

10. Liability

Our liability is limited to the total price paid by the client. We are not liable for loss of profits, business, revenue, goodwill, or any other indirect losses.

11. Variation

These Terms and Conditions may be updated at any time by mutual agreement. Any variations will not affect accrued rights or obligations unless stated otherwise.

12. Project Timeframe

12.1 Estimated Completion

The estimated timeframe for project completion is 21 days, subject to timely client input.

12.2 Late Fees

If the project extends beyond the estimated timeframe due to client delays, a R400 late fee will apply per additional week until completion.
